Olshan Represents Outerbridge Capital in Renewed Cooperation Agreement with Barnes & Noble Education

Olshan client Outerbridge Capital Management LLC has renewed its cooperation agreement with Barnes & Noble Education, Inc.  As part of the renewed agreement, Rory Wallace, Chief Investment Officer of Outerbridge, will be nominated for election to Barnes & Noble Education’s Board of Directors at the 2022 Annual Meeting, and will serve on the Audit and Compensation Committees.  In addition, Barnes & Noble Education agreed to separate the roles of CEO and Chairman of the Board.  Andrew Freedman, Meagan Reda, Ian Engoron and Mark Kiley represent Outerbridge Capital Management in connection with its investment in Barnes & Noble Education.
